GENERAL TERMS AND CONDITIONS OF USE

The vinci-construction-geoinfrastructure.com website (hereinafter referred to as the “Website”) is the corporate Website of VINCI Construction GeoInfrastructure (hereinafter referred to as “VINCI Construction GeoInfrastructure”), and primarily presents its business activities.

Accessing, consulting, browsing and/or using the Website and its services implies full acceptance of these general terms and conditions of use (hereinafter “GTCs”), the purpose of which is to define the terms and conditions for using the Website and its services by any person accessing, consulting, browsing and/or using all or part of the Website and its services (hereinafter, the “User”).

Consequently, prior to any use of the Website and its services, Users are requested to familiarize themselves with these GTCs. If Users do not accept any of the stipulations of these GTCs in whole or in part, they are asked not to use the Website or its services.

These GTCs are accessible at all times on the Website and will take precedence, if necessary, over any other version or any other contradictory document.

1. INTELLECTUAL PROPERTY

The Website and all the elements of which it is composed or which are made available to Users, in particular trademarks, logos, photographs, programs, source codes, object codes, data, databases, animated or non-animated images, sounds, drawings, graphics, videos, texts, layout, appearance, structure, and any other element not relating to hypertext links to third-party sites, are the property of VINCI Construction GeoInfrastructure or are subject to a license granted to it by the beneficiaries of the intellectual property rights.

All these elements are subject to the provisions of French and international regulations applicable to intellectual property, in particular the French Intellectual Property Code, and are therefore protected against any use that is not authorized by law or under these GTCs. Failure to comply with them may result in legal action.

VINCI Construction GeoInfrastructure grants Users, on a personal, non-exclusive and free basis, the right to consult and use the Website and its services for their own use and within the strict context of the operations authorized under the terms of these GTCs.

Subject to the usage rights granted to Users by VINCI Construction GeoInfrastructure, use of the Website and its services does not grant Users any license or transfer of rights relating to the elements of the Website. In particular, any copy, reproduction, representation, adaptation, modification or distribution, in part or in whole, of the Website or any of its content, by any process whatsoever and on any medium whatsoever, is unlawful without the prior, express and written consent of VINCI Construction GeoInfrastructure or the beneficiaries of the intellectual property rights.

Failure to comply with these stipulations, in particular for commercial purposes, may give rise to legal action by the beneficiaries of the applicable rights for infringement of copyright and/or unfair competition and/or free-riding. This does not affect VINCI Construction GeoInfrastructure’s other rights, in particular the right to obtain compensation for damage sustained.

2. WEBSITE ACCESS

Access to the Website is technically possible twenty-four (24) hours a day, seven (7) days a week, unless there is a case of force majeure, failures or any maintenance operations necessary for the Website to run correctly.

To access some of the services offered on the Website, you must fill out the mandatory fields of the form associated with the desired service (such as a contact request). Users guarantee the veracity and accuracy of any information sent in this context. To learn more about the use of personal data by VINCI Construction GeoInfrastructure, Users are invited to consult the Personal data protection policy.

In any event, Users acknowledge that they are sufficiently competent and have the necessary means to access and use the Website and its services. As such, Users must have access to a computer or any other device with an internet connection and settings that allow the Website and its services to function properly.

In general terms, Users state that they are aware of and accept the risks associated with browsing internet sites and using online services. In particular, Users acknowledge that information sent over or stored on the internet may be intercepted or altered independently of VINCI Construction GeoInfrastructure’s will.

As such, Users are strongly advised to take all necessary precautions to protect themselves against the effects of any hacking, in particular by ensuring that they have a secure and suitable configuration for their computer, cell phone or any other device used (for example by installing regularly updated virus detection software).

3. GENERAL USER OBLIGATIONS

Users undertake to use the Website and its services in accordance with these GTCs and, in particular, not to use them for commercial purposes, prospecting, solicitation or advertising.

In particular, Users undertake to refrain from:

  • any behavior likely to undermine the integrity, operation or security of the IT system that the Website and its services use to operate;
  • any intrusion or attempted intrusion into the IT systems of VINCI Construction GeoInfrastructure, VINCI Construction or any other VINCI Group company;
  • any breach or attempted breach of the Website’s authentication or other security measures;
  • any collection, extraction or use, in any form whatsoever, of the information contained on the Website;
  • and more generally, any act likely to detrimentally affect the rights and interests of VINCI Construction GeoInfrastructure, VINCI Construction or any other VINCI Group company.

In the event of any breach or fraudulent use of the Website and its services observed by VINCI Construction GeoInfrastructure or VINCI Construction, the latter reserve the right to terminate this contractual relationship, ipso jure, without notice or compensation, and to block the User from any future access to all or part of the Website and its services.

4. LIABILITY

The Website is provided to Users free of charge. While VINCI Construction GeoInfrastructure endeavors to provide a reliable Website, it cannot guarantee that it is always free from errors, inaccuracies or omissions, downtime, faults or defects. Furthermore, VINCI Construction GeoInfrastructure does not guarantee the accuracy, quality, lawfulness or fitness for a particular purpose of the Website, the services offered and the content published on it. As a result, Users acknowledge that they alone are responsible for their use of the Website, the services offered and the content published on it.

Users acknowledge having read the GTCs and undertake to comply with them. Users alone are responsible for the use they intend to make of the Website and its services, as well as for protecting the security and integrity of their data, hardware and software when using the Website or its services in any way whatsoever.

Therefore, VINCI Construction GeoInfrastructure shall not be held liable for any direct or indirect damage resulting from:

  • any malfunction or contamination of a User’s computer equipment during or after browsing the Website, inaccessibility or poor conditions of use attributable to that equipment, the internet service provider, internet network congestion, or any other reason outside VINCI Construction GeoInfrastructure’s control;
  • IT or telephone communication costs incurred by the use of this equipment, which are exclusively the User’s responsibility and shall not be borne by VINCI Construction GeoInfrastructure;
  • any temporary or permanent interruption of all or part of the Website’s features, in particular during the maintenance, modification or updating of the Website, in the event of a technical incident or, more generally, if an event occurs that is out of VINCI Construction GeoInfrastructure’s control;
  • any consequences that may arise from the content of third-party websites whose hyperlinks may be present on the Website;
  • any indirect damage sustained by a User;
  • any damage sustained by a User or a third party resulting from use of the Website that does not comply with these GTCs;
  • any breach of the obligations set out in these GTCs due to or originating from a random event or a case of force majeure as defined by article 1218 of the French Civil Code.
  • If VINCI Construction GeoInfrastructure is held liable for damage not provided for in the present clause, its liability shall be limited to certain, actual and direct damage.

Subsequently, VINCI Construction GeoInfrastructure, its directors, employees and, in general, its representatives and partners, as well as VINCI Group companies, may not be held liable for any indirect damage resulting from the use of the Website, the services offered and the content published on it, and in particular for loss of earnings, loss of profit, loss of opportunity or damage resulting from the loss of data caused by not being able to use the Website and its services.

 

5. MODIFICATION

The GTCs are precisely dated and may be modified and updated by VINCI Construction GeoInfrastructure at any time, particularly in the event of changes to the Website or any applicable regulations.

The applicable GTCs are those published on the Website at the time Users access the Website. As a result, Users are asked to consult the GTCs each time they access the Website.

This version of the GTCs replaces all previous versions

6. WEBSITE SUSPENSION

VINCI Construction GeoInfrastructure reserves the right to temporarily or permanently suspend access to some or all of the Website or the services offered on it, in particular in the event of the termination of the business related to the provision of the Website or in the event of collective proceedings.

7. TRANSFER

Subject to applicable law, Users agree that these GTCs binding them to VINCI Construction GeoInfrastructure may be assigned, transferred or passed on in any way whatsoever. In the event of a transfer of the company to a third party, these GTCs binding the User to VINCI Construction GeoInfrastructure shall automatically be transferred to the transferee.

8. HYPERLINKS TO OTHER WEBSITES OR EXTERNAL SOURCES

The Website may include hyperlinks to websites or internet sources other than those published by VINCI Construction GeoInfrastructure. VINCI Construction GeoInfrastructure cannot control these websites and external sources, therefore VINCI Construction GeoInfrastructure cannot be held liable for the availability of these websites and external sources, and thus declines all liability for the content, advertising, products, services or any other material available on or from these websites or external sources. The decision to click on hyperlinks therefore lies exclusively with the User.

VINCI Construction GeoInfrastructure reminds Users that non-affiliated external websites or internet sources are subject to their own general terms and conditions of use.

VINCI Construction GeoInfrastructure may, at its sole discretion, accept or reject any request made for this purpose. VINCI Construction GeoInfrastructure is under no obligation to accept any such request, nor to provide any reason for rejecting any such request.

9. VALIDITY OF THE GTCs

Each clause of the GTCs applies separately. Any change in the currently applicable regulations, or any decision by a court or competent authority invalidating one or more clauses of the GTCs will not affect the overall validity of the GTCs. This type of modification or decision in no way permits Users to disregard the valid provisions of the GTCs.

10. LANGUAGE

These GTCs were originally written in French. If they are translated into any other language(s), only the French text will be deemed admissible in the event of a dispute.

11. APPLICABLE LAW/JURISDICTION

These GTCs and the operations arising from them are governed, interpreted and applied in accordance with French law.

In the event of a dispute relating to their interpretation or execution, VINCI Construction GeoInfrastructure and the User will seek an amicable agreement before taking any legal action, and will provide each other with all necessary information for this purpose.

Failing an amicable agreement between VINCI Construction GeoInfrastructure and the User within two (2) months of notification of the dispute to the other party, jurisdiction is expressly given to the courts of Nanterre.
